SPECIAL MEETING                                                                                                           DEC. 9, 2004
TOWN OFFICE BUILDING                                                                                                1:00 P. M.

First Selectman Eldredge called the meeting to order at 1:00 P.M. with the following in attendance:  Selectman Blessington and L. Nicholls.  Selectman Patton was absent. First Selectman Eldredge led the Pledge of Allegiance.

APPROVAL OF MINUTES
SELECTMAN BLESSINGTON MOVED TO APPROVE THE MINUTES OF 11/15/04 WITH THE FOLLOWING CHANGES:  PG. 2, ITEM I THE QUESTION ABOUT A CAPITAL PROJECT SET UP FOR $30,000 AND MONEY ALREADY SPENT OUT OF IT; SHOULD READ SET UP FOR $30,000 AND $32.50 ALREADY SPENT OUT OF IT.
First Selectman Eldredge seconded the motion.
VOTE:  2 YES (ELDREDGE & BLESSINGTON)    0  NO

A list of correspondence was available at the meeting and in the Selectman’s office.


PUBLIC WORKS
Lynn Nicholls commented that they are dealing with winter run offs and washouts.  We had no major problems with the equipment but a problem with the generator during the power outage.  Selectman Blessing commented that the new house at 135 Mason Road has water running over the new driveway that makes a canal on Mason Road.  Lynn commented that she has talked to the owner; he opened a spring and will take care of the problem.  Selectman Blessington commented that he noticed that the recycle bins at the Transfer Station have more then recyclables in them, they need to keep an eye on this.  Lynn commented that she would talk to them.  Lynn reported that they are going to put a stocking pipe in on Turnpike Road to prevent icing.  The week of school vacation they will try to clean up site lines on Fisher Hill & Pinney Hill Roads, weather permitting.  They will notify landowners.  

NORTH PROPERTY DOCUMENTS/TOWN MEETING
First Selectman Eldredge commented that the letter from the attorney explains it all.  There might be some non-substantive changes, both attorneys and CT Forest and Parks Association are in agreement.  The first document is a real estate document that we would enter into, there will be an initial deposit of $25,000; the closing is set for July 1, 2005 or before.  If there is an open space program the closing may be extended 15 days or to

September 16, 2005 with the payment of an additional $25,000 and the closing must be completed no later than September 16th .  The Option Agreement and the Notice of Option will be signed at the closing.  The Notice of Option will be on file on the land records.  The option basically says that if in the event that in 5 years CFPA fails to conserve a permanent conseratorship over the property then the Town has the right to purchase back the property for $250,000.  If they use the open space grant it must automatically be conserved.  CFPA has a 109-year reputation, there is a very slight chance that it would not be conserved but this option guarantees it.  Selectman Blessington commented that they managed to set it back to possibly September 16th.  If you sign this contract are we locked into that as the final date?  Selectman Eldredge commented that yes that is the final date.  
SELECTMAN BLESSINGTON MOVED THAT THE BOARD OF SELECTMEN AUTHORIZE THE FIRST SELECTMAN TO ENTER INTO THE REAL ESTATE CONTRACT AND OPTION AGREEMENT TO SELL THE NORTH PROPERTY TO CONNECTICUT FOREST AND PARKS ASSOCIATION, CONTINGENT UPON THE SALE BEING APPROVED AT TOWN MEETING.
First Selectman Eldredge seconded the motion.

APPOINTMENTS
FIRST SELECTMAN ELDREDGE MOVED TO RE-APPOINT GEORGIANA BOOTH AS THE AGENT FOR THE ELDERLY, TERM EFFECTIVE 12-7-04 TO 12-7-06.
Selectman Blessington seconded the motion.
VOTE:  2 YES (ELDREDGE & BLESSINGTON)    0  NO

FIRST SELECTMAN ELDREDGE MOVED TO RE-APPOINT PETER THOMSEN AS AN ALTERNATE MEMBER OF THE SOLID WASTE ADVISORY COMMISSION, TERM EFFECTIVE 11/7/04 TO 11/7/06.
Selectman Blessington seconded the motion.
